Title: Contract Attorney (part-time / on-call)

Position Description:
Peerflix is looking for a freelance attorney that can provide transactional legal support. Peerflix is represented by major law firms (Gunderson, Fenwick, Blakely, etc.) for its corporate, IP, tax and other related needs. However, we are looking for someone that can provide day-to-day legal services in the transactional arena. Specifically, s/he will:
Draft, review and edit various agreements: license agreements, service agreements, vendor agreements, etc.
Draft, review and edit terms and conditions, terms of use, privacy policies, etc.
Negotiate agreements with third parties
Requirements/Qualifications:
Minimum of 7-10 years experience in a major law firm or serving as in-house counsel at a technology firm, or both
Transactional experience drafting, reviewing and editing vendor agreements, software licensing agreements, service agreements, etc.
Ability to understand the underlying business requirements and make determinations over the right depth of legal review (i.e. it doesn’t make sense to spend $400 reviewing a $1,000 agreement!)
Member of State Bar of California and degree from a top law school
Excellent analytical skills; must be able to think with complex deal structures with multiple variables
Proactive team player
Superior interpersonal and communication skills, including phone and e-mail
Collaborative, enthusiastic, self-directed and resourceful
Passion for start-up, fast-changing, and dynamic industry environments; past start-up experience a plus
Entrepreneurial, high energy, and flexible - ability to multi-task, roll up sleeves, jump in, and meet aggressive deadlines under pressure with limited time and resources;
Exceptional organizational skills with incredible attention to detail
